ASX LISTING INFORMATION

Bionomics Limited (Bionomics or the Company) is an Australian incorporated public company which was listed on the Australian Securities Exchange (ASX) between 1999 and 2023 trading under the symbol “BNO”. In 2021, Bionomics undertook an initial public offering in the United States through the issuance of American Depositary Shares (ADSs) each representing 180 ordinary shares (Shares). The ADSs began trading on the Nasdaq Global Market (Nasdaq) under the symbol “BNOX” on 16 December 2021.

On 28 August 2023, Bionomics voluntarily delisted from the official list of the ASX (the ASX Delisting) and accordingly, its Shares are no longer able to be traded on ASX and are held in certificated form. Share certificates were despatched to all Bionomics’ shareholders on 7 September 2023.

This information set out below is intended to assist holders of Shares understand the process of converting their Shares to ADSs, and to answer certain frequently asked questions following the ASX Delisting.

NASDAQ LISTING INFORMATION

In connection with Bionomic’ Limited’s (Bionomics) Initial Public Offering in the United States of American Depositary Shares (ADSs) on the Nasdaq Global Market (Nasdaq) representing ordinary shares of Bionomics (Shares), the ADSs began trading on Nasdaq under the symbol “BNOX” on December 16, 2021.
